1These terms

These are the terms on which Mindphin Technologies Pvt Ltd (“we”, “us”, “our”), a company registered in India, provides the catalogoshare mobile application (“the app”). By creating an account or using the app, you agree to them.

If you are agreeing on behalf of a business, you confirm you are authorised to bind that business, and “you” means that business.

2What the app does

catalogoshare connects to an Odoo system that you already run. It reads your products, lets you gather them into collections, and sends those collections to your customers over WhatsApp, email or as a PDF.

The app is a client for your data. It is not a place your data is stored. Section 6 explains what that means for who is responsible for what.

3Accounts

One account per company

An account is identified by the web address of your Odoo system, not by an individual person. Everyone who signs in against that Odoo shares the one account and the one plan.

This is deliberate. It means that once your company holds a Pro subscription, every one of your staff gets Pro, and we will not ask any of them to pay again.

Customers you invite

You can invite your own customers into the app so they can open what you have shared. Invited customers are never charged, are never shown a price, and do not need a subscription of their own.

Keeping the account secure

Your Odoo password is yours, and it is never sent to us. Signing in, and who at your company is allowed to, is controlled in your own Odoo. You are responsible for who you give access to and for what they do with it.

4Plans and pricing

The price shown in the app is the one that applies. Where Apple or Google displays a price in your own currency, that figure is the one you pay, and it may differ from ₹2,000 because of local taxes and exchange rates. We may change our prices, but a change never affects a subscription period you have already paid for.

5Subscriptions, renewal and cancellation

Bought inside the app

Apple and Google take the payment, not us. Your purchase is also subject to their terms.

• The subscription renews automatically each year unless you cancel it at least 24 hours before the period ends.
• Your account is charged for renewal within 24 hours of the end of the current period.
• You cancel in your own Apple or Google account settings, not in the app and not by writing to us. We have no power to cancel a store subscription for you.
• Cancelling stops the next renewal. It does not shorten the period you have already paid for, which runs to its end.

Bought directly from us

If you buy a subscription directly from Mindphin rather than through a store, we will invoice you and activate the plan on our side. Direct subscriptions do not renew automatically unless your agreement with us says so.

When a subscription ends

At the end of a paid period that has not been renewed, the account returns to Basic. Nothing of yours is deleted. Your products, images, collections and share history are on your own Odoo and are untouched. Only the 50-product limit comes back.

6Your data, and who is responsible for it

Your product catalogue, your photographs, your prices and your customer contacts live on your own Odoo system. We do not receive a copy and we cannot read them.

That puts the responsibility for them with you. In particular, you confirm that:

• you own, or have the right to use, everything you put into the app and send from it, including product photographs;
• where you share product information with your customers, you have whatever consent or lawful basis your own jurisdiction requires;
• you will not use the app to send anything unlawful, misleading, or that infringes somebody else’s rights.

7Acceptable use

You agree not to:

• resell, sublicense or white-label the app without a written agreement with us;
• try to work around a plan limit, or represent an account as being on a plan it is not;
• reverse-engineer, decompile or tamper with the app, except to the extent the law allows regardless of this clause;
• use the app to send bulk unsolicited messages, or in any way that breaks WhatsApp’s, Apple’s or Google’s own rules;
• interfere with our systems, or attempt to access an account that is not yours.

8Availability and support

We work to keep the app and our licensing service running, but we do not promise uninterrupted service. Both depend on things outside our control — your Odoo system, your internet connection, the app stores, and WhatsApp.

The app is designed to keep working offline from data already on your device, and a licensing outage on our side will not drop a paying customer to Basic.

9Changes to the app and to these terms

We improve the app continuously and may add, change or withdraw features. If we withdraw something material from a paid plan during a period you have paid for, write to us and we will refund the unused part of that period.

We may update these terms. The date at the top of this page shows when they last changed, and we will tell account holders by email before a material change takes effect. Continuing to use the app after that means you accept the new terms.

10Suspension and ending your account

You can stop using the app at any time, and you can ask us to close your account by writing to hello@mindphin.com. Closing your catalogoshare account does not touch your Odoo system, which is yours.

We may suspend or close an account that breaches section 7, that is being used unlawfully, or where payment has failed. Except where the breach is serious, we will tell you first and give you a chance to put it right.

11Liability

Nothing in these terms excludes liability that cannot lawfully be excluded — including for death or personal injury caused by negligence, or for fraud.

Subject to that, and because the app is a tool you use to run your own business:

• the app is provided as is, without warranties beyond those the law implies and does not allow us to exclude;
• we are not liable for lost profits, lost business, lost data on systems we do not operate, or indirect or consequential loss;
• our total liability to you in any twelve-month period is limited to what you paid us in that period. Where you are on Basic and have paid us nothing, that limit is ₹5,000.

We are not responsible for the acts of Apple, Google, WhatsApp, or any Odoo hosting provider you use.

12Governing law

These terms are governed by the laws of India. The courts of Gandhinagar, Gujarat have exclusive jurisdiction, except that either of us may seek an injunction in any court that has jurisdiction.

If any part of these terms is found unenforceable, the rest continues to apply.
